Partner (Affiliate) Terms

1. Purpose and independence

These terms govern the promotion of the Orbe catalogue through a trackable link, in exchange for a commission. They do not create an employment relationship, a partnership, an exclusive commercial agency, a franchise or a mandate.

The partner acts on its own account, bears its own costs and is responsible for the taxes levied on its remuneration.

2. Registration, code and approval

The partner chooses a code, which identifies its link and cannot be changed afterwards. Registration is subject to manual approval by Orbe; the link only counts referrals once approved.

3. Referral

A buyer who registers through the link is linked to the partner permanently. The first link prevails: a referral already attributed to another partner is not transferred.

Self-referral and the registration of the partner's own or affiliated company do not generate commission.

4. Commission

The partner is entitled to a percentage — set by Orbe in the partner's record and visible in the panel — of the net profit determined by Orbe on each confirmed sale to a referred buyer.

Net profit means the sale revenue less cost of goods, freight, insurance, taxes, shipping expenses and other direct costs of the operation. The calculation is made by Orbe and recorded in the partner panel together with the amount that generated the commission.

5. Entitlement and payment

The entitlement arises when Orbe confirms the sale and determines the net profit. Payment is made outside the platform, within 30 days of full receipt from the buyer, against a tax document where required.

A cancelled, unpaid or reversed sale generates no commission; if already paid, it is offset against future commissions.

6. Change of percentage

Orbe may change the percentage upon notice to the partner. The change applies to sales confirmed after the notice and does not affect commissions already determined.

7. Conduct

The partner must not: send unsolicited bulk messages; advertise in Orbe's name or use its trademarks without written authorisation; promise prices, deadlines or conditions that Orbe has not confirmed; buy paid traffic on the Orbe brand; create pages or profiles presenting themselves as Orbe; or manipulate clicks or registrations.

8. Confidentiality

Purchase prices, costs, margins and buyer data are confidential. The partner only has access to the company name, country and status of the buyers it referred.

9. Suspension and termination

Either party may end the relationship at any time. Breach of clauses 3 and 7 allows immediate blocking and the loss of unpaid commissions related to the conduct.

Commissions already determined and in good standing are paid normally.

10. Governing law and jurisdiction

These terms are governed by Brazilian law. The courts of Santana de Parnaíba — SP, Brazil, are elected to settle any dispute arising from them.
